1About these terms
These Terms & Conditions ("Terms") form an agreement between you, the client, and Abuvision LLC ("AbuVision", "we", "us" or "our"), 7901 4th St N #30031, St. Petersburg, FL 33702, USA. They apply to every order you place with us and to your use of https://abuvision.com.
By placing an order, you confirm that you have read and accept these Terms, our Refund Policy and our Privacy Policy. If you order on behalf of a business, you confirm that you are authorized to accept these Terms for that business.
2Our services
AbuVision is a digital agency, and all client work is completed by our own in-house team. We offer productized digital services in five areas: Website Designing, Content Writing, Digital Marketing, Consulting and AI Automation.
Each product is sold in three packages — Basic, Standard and Premium. For every package, the product page lists:
- the price in USD and whether it is billed one-time or monthly;
- the delivery time;
- the number of revision rounds included;
- the features and deliverables included.
The package description on the product page at the time of your order, together with any scope details we confirm with you in writing before you pay, defines exactly what your order includes (the "scope").
Our services are digital. We deliver design files, written content, marketing management, consulting sessions, automation workflows and similar work electronically. No physical goods are shipped.
3Ordering
Orders are placed through our website as follows:
- Choose a product and package on our website.
- Send us an enquiry through the website form or by email with your project details.
- We confirm the scope and what we need from you in writing, and send you a secure Stripe invoice.
- Your order is accepted, and a contract between us is formed, when that invoice is paid. For monthly packages, this is the first invoice.
We may decline an order — for example, if the request falls outside our services or would require unlawful work. If we decline an order, you will not be charged.
4Pricing and payment
- Currency. All prices are in US dollars (USD), as shown on the product page at the time of your order. Later price changes on the website do not affect orders you have already paid for.
- Payment method. Payments are made by card through a Stripe invoice. Stripe processes all payment data directly; AbuVision never sees or stores your card number.
- One-time packages. Payment is due in full before work begins, unless the package states otherwise.
- Monthly packages. Each billing period is invoiced in advance at its start and must be paid before work for that period begins. Monthly packages continue until cancelled as described in section 12. If a monthly payment fails, we pause work until it is paid.
- Taxes. Any sales or similar taxes are added to your invoice where the law requires it.
- Third-party costs. Package prices cover our team's work. Third-party costs are handled as described in section 10.
5Delivery and acceptance
Delivery timelines
The delivery time for each package is stated on its product page. It is counted from the project start date: the day your payment has cleared and we have received the content, information, logins and approvals we need to begin.
All timelines assume that you supply required content, logins and feedback on time. If you are late, your delivery date moves back accordingly — by at least the length of the delay. If we have not received the materials or feedback we need within 30 days of asking, we may pause the project; we will tell you by email before we do.
We deliver work electronically — by email, through shared file links, or directly into your accounts and platforms. If anything on our side affects the agreed timeline, we will tell you promptly.
Acceptance
Final delivery is when we hand over the completed deliverables for your package. You accept the deliverables when you confirm acceptance in writing, when you publish or use them in your business, or 14 days after final delivery if you have not requested a revision within that time.
6Revisions
- Each package includes the number of revision rounds stated on its product page.
- A revision round is one consolidated set of change requests on a delivered draft, sent to us together in one message.
- Revisions refine the agreed scope. Requests that change the scope — such as new pages, additional articles, new features or a new direction after a draft has been approved — are not revisions, and we will quote them separately.
- Additional revision rounds beyond those included are billed separately. We always confirm the price in writing before starting them.
- Unused revision rounds expire when the deliverables are accepted.
7Client responsibilities
To help us deliver your project on time, you agree to:
- give us accurate information and the content, files, access and feedback we need, when we need them;
- make sure you own, or have permission to use, every material you give us — including text, images, logos and data — and that it does not infringe anyone else's rights;
- review drafts and send consolidated feedback;
- check final deliverables before publishing them, including any legal or regulatory requirements that apply to your industry;
- keep your account logins secure and change any passwords you shared with us once the project is complete;
- use our work only for lawful purposes;
- communicate respectfully with our team. We may pause work if communication becomes abusive.
You are responsible for the content you provide and for how you use the deliverables once they are accepted.
8Intellectual property
Your deliverables
When we receive final payment in full, all rights, title and interest in the final deliverables we created specifically for you transfer to you. Until then, the deliverables remain ours, and you may use drafts only to review them.
Your materials
You keep ownership of everything you give us. You grant us a limited permission to use your materials only to perform the services you ordered.
Third-party and pre-existing elements
Some deliverables include elements we do not own, such as licensed fonts, stock images, plugins, themes or software. These stay subject to their own license terms, which we will point out to you. Our general know-how, tools, templates and reusable code created before or independently of your project remain ours. Where they form part of your deliverables, you receive a perpetual, non-exclusive, royalty-free license to use them as part of those deliverables.
Portfolio
We may show completed work in our portfolio and marketing, including on our website. If you prefer that we do not, tell us in writing at [email protected] before final delivery, and we will not show it. We never publish your confidential information.
9Confidentiality
Both sides agree to keep confidential any non-public information the other shares during a project — such as business plans, customer data, pricing, login credentials and unreleased work. Each side will use that information only for the project and will share it only with team members or service providers who need it and who are bound to keep it confidential.
This obligation does not cover information that is or becomes public through no fault of the receiving side, that the receiving side already knew or developed independently, or that must be disclosed by law (in which case the disclosing side will be told first where the law allows). These confidentiality obligations continue after your project ends.
10Results and third-party costs
- Professional care. We perform every service with professional care and skill. However, marketing outcomes — such as search rankings, traffic, leads, ad performance and sales — depend on factors outside our control, including search engine and platform algorithms, competition and your market. We do not guarantee specific results unless your package explicitly states a guarantee in writing.
- Third-party costs. Unless your package says otherwise, costs charged by other companies — such as domain names, hosting, premium plugins, software subscriptions, AI platform usage fees and advertising spend — are paid by you directly to the provider.
- Third-party platforms. We are not responsible for outages, policy changes, account restrictions or price changes made by third-party platforms such as hosting, social media, advertising or AI providers.
11Limitation of liability
To the maximum extent permitted by law:
- AbuVision's total liability for any claim arising out of or relating to a service is limited to the amount you paid us for that specific service;
- AbuVision is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, even if we were told such loss was possible.
Nothing in these Terms limits any liability that cannot be limited under applicable law.
12Cancellation and termination
Cancellation by you
You can cancel an order at any time by emailing [email protected]. If you cancel before any work has started, you receive a full refund. If work has started, refunds are handled as set out in our Refund Policy. Monthly packages can be cancelled for future billing periods at any time; the current period continues to its end and is not refunded.
Cancellation by us
We may cancel an order or end our work with you if you do not pay, if you materially breach these Terms, if you do not provide required materials within 30 days of our reminders, if communication with our team becomes abusive, or if the work requested would be unlawful. If we cannot complete an order for reasons on our side, we will refund the share of the package we have not delivered.
What happens after cancellation
Work completed up to the cancellation date is payable as set out in our Refund Policy. We hand over the work you have paid for, and ownership of paid work transfers as described in section 8. Sections 8, 9, 11 and 13 continue to apply after cancellation or termination.
13Governing law and disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law rules.
If a dispute arises, please contact us first at [email protected]. Both sides agree to try to resolve it through good-faith negotiation for at least 30 days. If the dispute is not resolved, it will be decided exclusively by the state or federal courts located in Pinellas County, Florida, and both sides consent to the jurisdiction of those courts.
14Changes to these terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. Updated Terms apply to orders placed after that date; each order is governed by the Terms in effect when it was paid.
15Entire agreement
These Terms, the package description and any scope we confirmed in writing for your order, your invoice, our Refund Policy and our Privacy Policy together form the entire agreement between you and AbuVision for that order, and replace any earlier discussions. If they conflict, the scope we confirmed in writing for your order takes priority over the general package description.
If any part of these Terms is found to be unenforceable, the rest remains in effect. If we do not enforce a right immediately, we have not waived it. Notices under these Terms are given by email.
